1. License Grant
Menthu Warrior Arts LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Basics Work platform ("the Software") solely for your internal training and instructional purposes. This license does not constitute a sale of the Software or any underlying intellectual property rights.
2. Permitted Uses
Subject to these terms, you may:
- Create and manage instructor and student accounts within your organization.
- Schedule classes, track attendance, and manage enrollments.
- Upload and distribute training drills and educational materials.
- Generate and export performance reports and progress analytics.
- Use built-in messaging tools for instructor-student communication.
3. Prohibited Uses
You may not, without prior written consent from Menthu Warrior Arts LLC:
- Copy, modify, translate, or create derivative works of the Software.
- Reverse engineer, decompile, disassemble, or attempt to discover the source code.
- Rent, lease, lend, sell, sublicense, or otherwise transfer rights to the Software.
- Use the Software to operate a competing training management platform.
- Remove or alter any copyright, trademark, or proprietary notices.
- Exceed the scope of the subscription plan or user limits you have purchased.
4. Ownership and Attribution
The Software, including all code, design, trademarks, and content provided by Menthu Warrior Arts LLC, is and shall remain the exclusive property of Menthu Warrior Arts LLC. All rights not expressly granted herein are reserved.
When referencing Basics Work in public materials, training documentation, or promotional content, proper attribution must include the full name "Basics Work by Menthu Warrior Arts LLC" and, where applicable, our logo or brand marks as provided by us.
5. User-Generated Content
You retain ownership of any training content, drill descriptions, class materials, and other data you upload to the platform ("Your Content"). By uploading Your Content, you grant Menthu Warrior Arts LLC a non-exclusive, royalty-free license to host, display, and distribute Your Content solely as necessary to operate the Service for your account.
You represent and warrant that Your Content does not infringe on any third-party intellectual property rights and complies with all applicable laws.
6. Open Source and Third-Party Components
The Software may incorporate third-party open-source libraries and components, each governed by their respective licenses. A complete list of third-party attributions is available upon request. Your use of such components is subject to both these terms and the applicable open-source licenses.
7. Term and Termination
This license is effective upon your first use of the Software and continues until terminated. Menthu Warrior Arts LLC may terminate this license at any time if you breach any provision herein. Upon termination, you must cease all use of the Software and destroy any copies in your possession.
8. Disclaimer of Warranty
The Software is provided "AS IS" without warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
9. Limitation of Liability
In no event shall Menthu Warrior Arts LLC be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this license or your use of the Software, even if advised of the possibility of such damages.
10. Governing Law
This License shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.
